Terms of Service

1. Introduction and Acceptance

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you") and Ayryx, Inc. ("Ayryx", "we", "us", "our"), a corporation incorporated in the State of Delaware, USA, with its principal place of business at 20 Rose Ln, Presque Isle, ME 04769.

These Terms govern your access to and use of the Ayryx application, website, and any related services (collectively, the "Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Service.

If you are using the Service on behalf of an organization (such as an airline, flight department, or other entity), you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and the organization.

2. Description of Service

Ayryx is a supplemental situational awareness tool that aggregates and presents aviation-related information, including but not limited to weather data, air traffic data, arrival forecasts, ground tracks, and communications-derived information such as PIREPs.

The Service is designed to provide supplemental information only. It is expressly not any of the following:

• A certified aviation information source
• A substitute for NOTAMs, official weather briefings, ATC communications, airline dispatch, or any other official aviation information source
• A flight planning tool
• A basis for operational decisions

3. No Reliance

Information presented through the Service is provided for supplemental awareness purposes only. You must not rely on the Service as a basis for any flight planning, operational, or safety-critical decision.

Data within the Service may be derived from third-party sources and may be delayed, incomplete, inaccurate, or unavailable at any time without notice. Ayryx does not independently verify the accuracy of third-party data and makes no representation as to its reliability.

4. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. AYRYX SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, TIMELINESS, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, AYRYX DOES NOT WARRANT THAT:

• THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE
• THE INFORMATION PROVIDED THROUGH THE SERVICE WILL BE ACCURATE, COMPLETE, OR CURRENT
• ANY DEFECTS OR ERRORS IN THE SERVICE WILL BE CORRECTED
• THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AYRYX, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY:

• DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES
• COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES
• DAMAGES ARISING FROM OR RELATED TO ANY OPERATIONAL DECISION, DIVERSION, DELAY, CANCELLATION, OR OTHER ACTION TAKEN OR NOT TAKEN IN CONNECTION WITH INFORMATION OBTAINED THROUGH THE SERVICE

THIS LIMITATION APPLIES WHETHER THE CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT AYRYX HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND EVEN IF A LIMITED REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

IN JURISDICTIONS THAT DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, AYRYX'S LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

IN NO EVENT SHALL AYRYX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AYRYX IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

6. Indemnification

You agree to indemnify, defend, and hold harmless Ayryx and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:

• Your use of, or reliance on, the Service
• Any operational decision made in connection with information obtained through the Service
• Your breach of these Terms
• Your violation of any applicable law, regulation, or third-party right

7. User Obligations

As a condition of using the Service, you represent and agree that:

• You hold all credentials, certifications, and authorizations required by applicable law and regulation for your role in aviation operations
• You will comply with all applicable aviation regulations, including those of the FAA, EASA, ICAO, and any relevant national authority
• You will use the Service only as a supplemental information source and not as a substitute for required official information sources
• You will not redistribute, resell, or make the Service available to unauthorized third parties

8. Accounts and Access

Access to the Service requires an authorized account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

Ayryx reserves the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice.

9. Intellectual Property

The Service, including its design, code, data presentation, algorithms, and branding, is the property of Ayryx, Inc. and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited right to use it in accordance with these Terms.

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your information, including our use of cookies.

Ayryx may collect and use anonymized, aggregated usage data to improve the Service. Such data will not identify you personally.

11. Third-Party Data and Services

The Service may incorporate data from third-party sources (including but not limited to weather data providers, ADS-B data networks, and air traffic control audio streams). Ayryx is not responsible for the accuracy, availability, or reliability of third-party data and makes no warranty regarding such data.

12. Modifications to Terms

Ayryx reserves the right to modify these Terms at any time. Material changes will be communicated through the Service or by email. The "Effective date" at the top of this document and the revision history table will be updated to reflect changes.

Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

13. Termination

Either party may terminate this agreement at any time. You may terminate by ceasing to use the Service and requesting account deletion. Ayryx may terminate by disabling your access to the Service.

Sections 3 (No Reliance), 4 (Disclaimer of Warranties), 5 (Limitation of Liability), 6 (Indemnification), 9 (Intellectual Property), and 14 (Governing Law) shall survive termination of these Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction and venue of such courts.

15. General Provisions

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

The failure of Ayryx to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Ayryx regarding the Service. These Terms do not supersede any separately executed service agreement or contract between Ayryx and your organization; in the event of a conflict between these Terms and such an agreement, the separately executed agreement shall prevail.

Assignment

You may not assign or transfer your rights under these Terms without Ayryx's prior written consent. Ayryx may assign its rights and obligations under these Terms without restriction.
